Upstart Holdings gained conditional approval from the OCC to launch its AI-powered digital bank, Upstart Bank, N.A. The company still needs FDIC approval for deposit insurance and Federal Reserve clearance for bank holding company status. If fully authorized, the bank could originate loans and take FDIC-insured deposits, shifting to cheaper funding from securitization markets. The move comes amid ongoing discussions around bitcoin ETF approval and CFT compliance in financial services.

Upstart Holdings just cleared a major regulatory checkpoint. The AI lending company announced on July 23 that the Office of the Comptroller of the Currency has granted conditional approval for Upstart Bank, N.A., a proposed national digital bank designed entirely around artificial intelligence-driven underwriting.

Upstart still needs sign-off from the FDIC for deposit insurance and from the Federal Reserve for bank holding company status.

From middleman to main character

Upstart has spent its existence as a platform company. It builds AI models that predict creditworthiness, then hands those models to bank partners who actually originate the loans. By chartering its own bank, Upstart would collapse that entire supply chain into a single entity.

The company filed its application on March 10, 2026. Just over four months later, it has the OCC’s conditional blessing.

If fully approved, Upstart Bank would originate loans nationwide and accept FDIC-insured deposits. Right now, Upstart relies on third-party capital partners and securitization markets to fund its loans. Switching to deposit funding could meaningfully compress its cost of capital.

Annie Delgado, currently Upstart’s Chief Risk Officer, has been proposed as CEO of the new bank. Paul Gu, the company’s Chief Technology Officer, has also been referenced in the context of leadership transitions as the institution takes shape.

Why an AI-native bank is a big deal

Upstart Bank would be the first nationally chartered bank created from inception to use AI underwriting systems. It means the bank’s entire operational architecture, from risk assessment to loan pricing to portfolio management, would be built around machine learning models rather than retrofitted onto legacy infrastructure.

The competitive implications extend well beyond Upstart itself. Other fintech lenders like SoFi, which obtained its own bank charter back in 2022, and LendingClub, which acquired Radius Bank in 2021, have already demonstrated that vertical integration can transform unit economics.

The regulatory gauntlet ahead

The OCC evaluates the charter application, but the FDIC independently assesses whether the institution merits deposit insurance, and the Federal Reserve determines whether the parent company qualifies as a bank holding company.

The OCC approval is conditional, likely coming with specific requirements involving minimum capital levels, management commitments, and operational milestones that Upstart must meet before the charter becomes fully effective.

What this means for investors

By controlling its own bank, Upstart could reduce its dependence on partner institutions, lower its funding costs through deposits, and capture more of the economics on every loan it originates. Running a bank also carries balance sheet risk, meaning if loan performance deteriorates, the losses sit on Upstart’s books rather than a partner’s.
