CoinDesk reports:

London Stock Exchange Group (LSEG) has agreed to acquire the financial intelligence business Octus for $3.535 billion. The company owns an asset that is becoming increasingly valuable in the age of artificial intelligence: information that cannot be easily found online.

The transaction, announced on October 22, is LSEG’s largest acquisition in seven years and will help it expand deeper into the private credit market, where loan agreements, debt covenants, and restructuring details are often not disclosed to the public.

According to LSEG's official announcement, Octus serves more than 750 institutional clients and 40,000 individual users.

The transaction is expected to be completed in the first half of 2027, subject to regulatory approval.

Why is LSEG willing to pay $3.5 billion for financial data?

Octus was founded by Kent Collier in 2013, specializing in tracking corporate debt, distressed loans, and private credit transactions.

Its researchers obtain hard-to-access financial documents, review loan agreements, and organize complex contract information into searchable databases for banks, asset management firms, and law firms.

As private credit expands into new industries, including AI infrastructure financing, these capabilities are becoming increasingly important.

Octus expects revenue to exceed $300 million in 2026, with an adjusted EBITDA margin of approximately 40%.

Based on annual sales of $300 million, LSEG’s proposed acquisition price represents approximately 11.8 times revenue. If Octus’s revenue exceeds this level, the actual multiple would be lower.

Essentially, the company is acquiring specialized information, experienced researchers, and an established network of relationships—not just another financial website.

Why AI makes private financial information more valuable

AI systems can summarize financial statements, compare companies, and analyze large volumes of documents in seconds.

However, their effectiveness depends on access to reliable underlying information.

Private loan agreements and confidential restructuring documents are not automatically accessible to general-purpose AI models, regardless of their analytical capabilities.

Octus acquires, organizes, and licenses professional information required by financial institutions when evaluating borrowers or distressed investments.

This is especially important as borrowing by AI-related companies continues to expand, as investors must understand these complex financing arrangements before committing capital.

This difference is similar to Thomson Reuters’ recent legal AI acquisition strategy, which emphasizes professional research capabilities rather than the revenue scale of traditional startups.

However, proprietary information is not without competition—AI can also help competitors collect, organize, and analyze financial documents more efficiently.

For LSEG, its advantage depends on its ability to continue maintaining information channels that clients cannot easily access elsewhere.

LSEG raises revenue guidance following strong quarterly results

This acquisition was accompanied by stronger third-quarter financial performance.

LSEG reported an 8.8% revenue growth on an organic, constant currency basis, with Markets segment growth of 12.5% and Data & Analytics business growth of 5.2%.

The management subsequently raised its full-year organic revenue growth forecast to at least 8%, above the previous guidance of 7% to 7.5%.

The company also raised its free cash flow outlook to at least £2.8 billion.

The acquisition of Octus will be financed through external debt, underscoring the growing reliance on credit market financing in the technology and financial services sectors.

LSEG expects the acquisition to have a neutral impact on adjusted earnings per share in the first full fiscal year following completion, after which it will become positive.

This expectation depends in part on whether Octus can be successfully integrated and whether its subscription services can be further expanded among LSEG’s existing customers.

This transaction comes at a time when professional investors are increasingly focusing on the debt risks associated with AI infrastructure.
