HashKey Holdings Limited (“HashKey” or the “Company,” stock code: 3887) announces that its wholly-owned subsidiary, HKDAG (Singapore) Pte. Ltd., has entered into a non-binding framework agreement with the major shareholders of Asia Pacific Exchange Pte. Ltd. (“APEX”) and APEX itself, to acquire all equity interests in APEX.

APEX and its group operate a comprehensive and robust financial market infrastructure in Singapore. As a licensed derivatives exchange in Singapore, APEX holds an “Approved Exchange” (AE) license issued by the Monetary Authority of Singapore (MAS); its subsidiary, Asia Pacific Clear Pte. Ltd., holds an “Approved Clearing House” (ACH) license, enabling integrated clearing and settlement capabilities. Under Singapore’s stringent regulatory framework, only three institutions in the market currently hold both of these licenses.

If the proposed acquisition is successfully completed, HashKey aims to further enhance its trading and clearing infrastructure for institutional markets, driving the development of a next-generation financial infrastructure encompassing trading, custody, payments, clearing, and settlement, thereby improving its comprehensive service capabilities for financial institutions and institutional market participants. As a leading international financial center in Asia, Singapore continues to maintain its pioneering position in the development of financial market infrastructure and financial technology. This proposed acquisition will also further strengthen the group’s regulated business presence in Asia’s core financial markets, aligning with the group’s ongoing strategy of global expansion and building a multi-jurisdictional financial technology platform.

As of now, the proposed acquisition is subject to the execution of definitive documentation and approval from the Monetary Authority of Singapore (MAS). As of now, the Group has not entered into any definitive documentation regarding the proposed acquisition, nor has it obtained the required approval from the MAS. Therefore, the proposed acquisition may or may not proceed. If the parties execute definitive documentation following the completion of due diligence on the target group, the proposed acquisition is expected to constitute a disclosable transaction under Chapter 14 of the Listing Rules. The Company will comply with the Listing Rules and make further announcements regarding the proposed acquisition in a timely manner.
