BlockBeats report: On September 10, Solana’s treasury company SkyAI will hold its annual general meeting on September 18. Potential acquirer Forward Industries has publicly urged shareholders to vote against the re-election of five incumbent directors and to reject the 2026 equity incentive plan, which proposes authorizing an additional 5,145,000 shares for equity incentives.
Previously, Forward proposed an all-stock acquisition offer to acquire SKYA at a rate of 0.367 shares of FWDI for each share of SKYA, representing a premium of approximately 20%, but the offer was unanimously rejected by SkyAI’s board in July. Meanwhile, shareholders such as Bastion Trading, which holds a 9.99% stake in SkyAI, have filed documents with the SEC indicating their intention to vote “WITHHOLD ALL” for all director nominees and raising concerns about the company’s recent charter amendments, the adoption of a poison pill without shareholder approval, and related-party transactions.
