Blacksburg, Virginia, October 28 (Reuters/GlobeNewswire)—First Community Bankshares, Inc. (“First Community”) (NASDAQ: FCBC), headquartered in Blacksburg, Virginia, and Main Street Financial Services Corp. (“Main Street”) (OTCQX: MSWV), headquartered in Wooster, Ohio, today jointly announced that they have entered into a merger agreement (“Agreement”).
Under this agreement, Main Street will be merged into First Community, with First Community continuing as the surviving company. Main Street’s wholly owned bank subsidiary, Main Street Bank Corp. (“Main Street Bank”), will also be merged into First Community’s wholly owned bank subsidiary, First Community Bank.
As of September 30, 2026, Main Street reported consolidated assets of approximately $1.6 billion. Based on the assets disclosed by both companies as of that date, the combined entity is expected to report approximately $5.2 billion in assets before transaction-related adjustments.
The proposed transaction will advance First Community’s solid growth strategy by strengthening its presence in West Virginia and establishing a significant footprint in the attractive eastern Ohio market. This combination will expand First Community’s banking footprint to five states. Together, the two institutions will merge Main Street Bank’s strong organic loan growth and established customer relationships with First Community’s low-cost core deposits and liquidity, enhanced lending capacity, and expanded product and service offerings, creating a stronger platform to serve regional customers.
Mark R. Witmer, Chairman, President, and CEO of Main Street, said: “This partnership marks an exciting new chapter for Main Street and presents attractive opportunities for our shareholders, customers, and employees. We have built a strong community banking business through prudent lending, exceptional customer service, and long-term relationships within the markets we serve. By joining First Community, we will gain the financial strength, lending capacity, and expanded capabilities of a larger institution, while preserving the local relationships and personalized service that have been at the core of our success. I am especially excited about the opportunities this combination creates for our employees and our enhanced ability to serve our customers and communities for years to come.”
Gary Mills, President of First Community Bank, said: “Main Street Bank is an outstanding community bank whose balance sheet and loan asset generation capabilities strongly complement First Community Bank’s liquidity and balance sheet management. They possess exceptional expertise in agricultural lending, which will enable First Community to better serve the rural markets it has long been committed to. Mark Witmer is an outstanding individual and banker who has provided exceptional leadership as President and CEO of Main Street. We are thrilled that Mark will be joining our management team as President of the Ohio region.”
William P. Stafford II, Chairman and CEO of First Community, said: “This partnership brings together complementary strengths that benefit both parties. Main Street brings talented bankers, the ability to sustain organic loan growth, and attractive markets aligned with our customer-centric community banking model. First Community contributes liquidity from a strong core deposit base, prudent capital management, and the resources of a larger institution. Together, we can offer customers higher lending limits and a broader range of products and technology, while creating opportunities for growth and operational efficiency. We believe this combination will help us generate long-term value and deliver superior returns to shareholders.”
Under the terms of the agreement, each outstanding eligible share of Main Street common stock will be converted into the right to receive 0.6174 shares of First Community common stock, with fractional shares paid in cash. Based on First Community’s 10-day volume-weighted average price of $48.82 as of October 26, 2026, this exchange ratio equates to approximately $30.14 per share of Main Street, for a total transaction value of approximately $243 million.
The agreement has been unanimously approved by the boards of First Community and Main Street. Completion of the transaction remains subject to approval by the shareholders of both companies, necessary regulatory approvals, and other customary closing conditions. The transaction is expected to close in early Q2 2027, upon satisfaction or waiver of the relevant closing conditions.
Following the merger, one member of Main Street’s board will join the boards of First Community and First Community Bank, and Mark Witmer will join the management team of First Community Bank as President of the Ohio region.
