Evernorth Holdings could raise approximately $80 million through a new equity financing agreement to increase the company's XRP treasury. Ripple-backed Evernorth signed the stock purchase agreement with CF Principal Investments, an affiliate of Cantor Fitzgerald, on October 23. The agreement permits sales of up to 5.22 million newly issued Class A common shares over approximately 14 months.
An accompanying SEC prospectus projects gross proceeds of $80.7 million using Evernorth's October 22 closing share price of $15.46. The prospectus estimates proceeds after fees and expenses at approximately $78.3 million. Evernorth plans to spend a substantial share of the proceeds on additional XRP. Evernorth intends to use the balance for working capital, corporate expenses and activities in the XRP ecosystem.
The agreement allows Nasdaq-listed Evernorth to periodically require Cantor to buy shares at 97% of the shares' volume-weighted average trading price. Evernorth's management can choose when to issue shares according to market conditions and financing needs, allowing capital to be raised in installments. However, purchases generally cannot exceed 20% of trading volume in the applicable purchase period. The agreement also imposes a 4.99% ownership threshold on Cantor. Evernorth must pay an initial commitment fee of approximately $522,000, potentially rising to $1 million under certain conditions.
The financing has not started because Evernorth must obtain SEC effectiveness for the resale registration statement and satisfy other contractual requirements. The amount ultimately raised will depend on Evernorth's share price, trading liquidity and total shares issued.
An earlier SEC filing registered the potential issuance of nearly 11.5 million Class A shares through the exercise of outstanding public warrants. The special purpose acquisition company behind Evernorth's public listing issued the warrants. The warrants give holders the right to purchase shares for $11.50 each. Full exercise for cash could bring Evernorth approximately $132.2 million, separate from the Cantor agreement. However, warrant proceeds depend on investors choosing to exercise existing rights. Evernorth said any warrant proceeds would fund general corporate purposes, with management deciding how to deploy the money.
Evernorth is developing both financing options after making a public-market debut in October. Both arrangements could increase Evernorth's capital, but additional shares would dilute existing shareholders' ownership. Evernorth said the company generally plans to seek additional capital when Evernorth shares trade above the net asset value of the company's XRP holdings. Evernorth said that approach creates opportunities to buy more XRP while seeking to raise the underlying asset value per share.
Michael Saylor's Strategy pioneered the model by repeatedly selling MSTR shares and directing the proceeds into additional Bitcoin. Other digital asset treasury companies have sought to reproduce that financing approach. Evernorth is applying a similar approach to XRP by using the company's public listing to access capital beyond the initial fundraising. The pending Cantor facility and outstanding warrants could support additional purchases, whose scale will depend on the equity capital Evernorth secures.
