According to Circle’s Form 8-K filed with the U.S. Securities and Exchange Commission, the acquisition agreement was signed on September 4, with consideration to be paid in Circle Class A shares, subject to adjustments based on Tazapay’s debt, transaction fees, and cash position. Circle stated that Tazapay brings over $25 billion in annualized payment volume (as of July 31, 2026), more than 60 banking and fintech partners, and local payment rails across 100+ markets. As of July 31, over 60% of Tazapay’s transaction volume was already running on stablecoins. Tazapay has been a design partner of Circle’s payment network since 2025, and this acquisition will integrate that partnership into Circle’s own operations. The transaction is expected to close in 2027, subject to regulatory approvals, including from the Monetary Authority of Singapore. Circle affirmed that service, APIs, pricing, and support for Tazapay’s customers will remain unaffected.
