Bank of America shares fell more than 8% Wednesday after the bank missed third-quarter estimates, one day after the Treasury Department imposed a $1.2 billion fine. Benzinga Pro market data showed shares down about 8.4% at $49.44 by 10:11 a.m. ET. Across roughly 7.1 billion shares, the decline erased about $32 billion in market value, more than 25 times the fine.
The Treasury announced more than $1.21 billion in penalties Tuesday, saying Bank of America had failed for years to report over $5 billion in suspicious transactions. The Office of the Comptroller of the Currency accounted for $750 million of the penalties, the largest penalty in the agency's history.
Bank of America earned 91 cents a share in the third quarter, below the $1.10 analysts expected. Revenue of $30 billion also missed the $30.69 billion estimate. The fine reduced net income by about 17 cents a share. Adding the fine back brings earnings to roughly $1.08 a share, still below forecasts. The Wall Street Journal said profit disappointed even excluding the Treasury penalty.
Profit fell to $6.9 billion from $8.3 billion a year earlier. Investment banking fees dropped 11% to $1.8 billion. Sales and trading revenue fell 5% to $5.1 billion as fixed income, currencies and commodities weakened. CEO Brian Moynihan had forecast roughly flat sales and trading results in September.
Regulators described the compliance failures as long-running and widespread. Comptroller Jonathan Gould said Bank of America's anti-money-laundering program continued to reflect widespread internal-control breakdowns that threatened U.S. national and economic security. The OCC said Bank of America never fixed problems identified in a 2024 cease-and-desist order. The Treasury said Bank of America prioritized revenue while keeping compliance resources to a minimum.
Bank of America says remediation costs are already included in its expense base. However, analysts told Reuters that the penalty raises questions about future expenses and how long the regulatory order will last. Neither the remediation expenses nor the regulatory order has a clear end date. Investors are treating that uncertainty as far more costly than the fine itself.
Bank of America shares were down 1.9% for 2026 through Tuesday's close. After Wednesday's decline, shares were about 10% lower year to date and roughly 24% below the 52-week high of $65.23. Benzinga Pro data showed shares down 7.68% at $49.81 at the time of publication Wednesday.
