Anthropic has pledged 5% of its shares, worth about $48 billion, to a new public benefit fund. Anthropic, the maker of the Claude chatbot, announced the fund on Sunday. The plan needs stockholder approval weeks before Anthropic's expected November listing. The $48 billion estimate uses the $965 billion valuation Anthropic reached when Anthropic raised $65 billion in May.
The board may add up to 2% more for every 50% rise in value above a set baseline. Anthropic has not disclosed that baseline. Anthropic has not said whether the pledged shares will be newly issued. Newly issued shares would dilute every existing shareholder. Anthropic has not said how the fund will convert stock into cash. Initial public offering buyers therefore lack the share source, the baseline and the payout plan.
The value of the pledged stake changes with Anthropic's valuation. Some investors have discussed a valuation near $1.5 trillion for the initial public offering. At that valuation, the initial stake would be worth about $75 billion. However, research firm New Constructs put Anthropic's equity value as low as $144 billion in an October report. At that valuation, 5% would be worth about $7.2 billion. Hedge fund manager Paul Tudor Jones has warned that new shares from AI companies, including Anthropic, could weigh on stocks in 2027.
No recipient has been named. Possible distributions include large gifts to nonprofits or direct cash payments to specific groups. Anthropic named workers hurt by AI as one example. Anthropic committed $200 million in July to research on reducing AI-driven job losses.
The fund is a limited liability company, not a tax-exempt charity. Anthropic said the fund will not pay for lobbying or political donations. Anthropic said the equity will go to the fund instead of funding escalating executive pay awards. Anthropic says roughly 20% of Anthropic's shares are now committed to the public good, including earlier pledges. Rival OpenAI says OpenAI's nonprofit foundation holds 26% of OpenAI. Anthropic plans to publish the fund's governance rules and valuation milestones in the coming months.
