ChainCatcher report: On October 18, AI company Anthropic announced it would allocate a portion of its equity to a newly established Anthropic Public Benefit Fund, with the fund’s ownership stake increasing as the company grows. Subject to shareholder approval, the company committed on that day to contribute 5% of its Anthropic shares; thereafter, the board may, at its discretion, add an additional 2% for every 50% increase in company value above a specified baseline. The fund will be structured as a wholly owned LLC rather than a 501(c)(3) or other form, to allow flexibility in donation methods. The Anthropic shares held by the fund will not be used for lobbying or political contributions in the U.S. or abroad. Anthropic stated that the fund aims to advance its mission with greater flexibility and scale—for example, through large donations to traditional nonprofit organizations or direct allocations to specific groups. The company had previously pledged $200 million toward research and addressing AI’s impact on the labor market. As a public benefit corporation, Anthropic continues to conduct most mission-related work internally, including AI safety and interpretability research, applied biomedical research, and offering discounted access to Claude for nonprofits and research institutions. At its founding, the co-founders committed to donating 80% of their equity holdings; the company also operates an equity donation matching program, with approximately half of its employees participating. Combined with this announcement, approximately 20% of Anthropic’s shares will be dedicated to public benefit, with the potential for this percentage to increase upon reaching specific valuation milestones. The fund’s structure, governance, and corresponding milestones will be disclosed over the coming months.
