The transaction is intended to help Alpha Modus address a Nasdaq deficiency and avoid delisting. Ten non-US investors would receive 51.62 million Class A shares and warrants for another 51.62 million shares. An August 27 SEC filing disclosed the agreement. The agreement values the Bitcoin at $71,000 each and implies about $225.1 million of consideration. The transaction has been signed but has not closed. The Bitcoin has not been transferred, and the new securities have not been issued. Alpha Modus had about 4.99 million Class A shares outstanding under its August 24 capitalization table. The initial share issuance would increase the total to roughly 56.61 million shares. The existing shares would represent about 8.8% of the enlarged base. The Bitcoin investors would receive about 10.35 new shares for every existing Class A share. The warrants could add another 51.62 million shares if exercised at $4.36 during their two-year term. Beneficial ownership limits, Nasdaq requirements, and any required shareholder approvals still apply. Alpha Modus shares fell about 25% to $2.84 after the announcement. Nasdaq notified Alpha Modus in April that it failed to meet any of three alternative Capital Market standards. The standards cover net income, the market value of listed securities, or stockholders' equity. Alpha Modus later submitted a compliance plan. Its latest quarterly filing showed $2 million in cash. The filing showed a $6.1 million stockholders' deficit. The filing showed a $6.3 million working-capital deficit. Alpha Modus reported no revenue for the quarter or the first half of 2026. The company reported a $6.2 million loss for the six-month period. The filing raised substantial doubt about Alpha Modus's ability to continue as a going concern. The filing estimated that the company needed at least another $2.5 million to maintain its growth plan. Management expects the contributed Bitcoin to strengthen stockholders' equity and help address the Nasdaq deficiency. The Bitcoin contribution would not automatically resolve Alpha Modus's near-term operating liquidity needs. The 50 largest publicly traded Bitcoin holders had a combined market capitalization of about $67 billion in August. Their combined market capitalization was roughly $150 billion in July 2025, according to the Financial Times. Michael Saylor's Strategy popularized the approach of raising debt and equity to accumulate Bitcoin. Bitcoin has fallen about 30% over the past 12 months despite its recent rebound toward $80,000. Many Bitcoin treasury-company stocks have declined more sharply. Some companies have started selling Bitcoin or refocusing on their core businesses. Chief Executive William Alessi said Alpha Modus had considered a Bitcoin strategy when prices were near record highs. Alessi said the company decided that the timing was not optimal. Alpha Modus is now pursuing the strategy after Bitcoin's 30% retreat. Investor reaction has remained negative after the deal's announcement.
