METAPLANET CEO BREAKS SILENCE AMID SHAREHOLDER BACKLASH OVER DILUTION Metaplanet CEO Simon Gerovich says the company “has not done a good enough job” explaining its structure and decisions following mounting criticism from shareholders over governance, insider compensation and dilution. Gerovich pointed to recent changes eliminating the adjustment provision in the company’s 10th Series stock acquisition rights, fixing the share count and adding a five-year lockup, while promising greater transparency going forward. The response has not satisfied some shareholders, who argue the changes fail to address the roughly 273 million additional shares created under the previous anti-dilution mechanism, potentially worth hundreds of millions of dollars. Critics are calling on Metaplanet to roll back those shares and are also demanding greater disclosure around MMXX Ventures, including its ownership structure and relationship with Gerovich. “Going forward, you should expect to hear more from us around the decisions we make and how they shape the future of the company,” Gerovich said.
