Using 2,100 bitcoins to acquire control of a U.S. publicly traded company—Metaplanet’s move is bold. Originally a Japanese company focused on holding bitcoin reserves, it now aims to leverage Super League, a Nasdaq-listed firm, to establish a pathway for raising U.S. dollars. Super League previously operated in gaming and digital media. Its shareholders have already approved the transaction: upon closing, Metaplanet will contribute 2,100 BTC and $2.5 million in cash, expecting to receive approximately 93.7% of the common shares and the right to appoint a majority of the board. After the transaction, Super League plans to rename itself Superplanet, serving as Metaplanet’s U.S.-based bitcoin reserve platform, while its Japanese operations will remain intact. What gave me pause is that Metaplanet didn’t first sell its bitcoins for dollars and then seek financing in the U.S.—instead, it directly injected bitcoin into the deal to gain control of a public company. Going forward, it intends to raise additional dollars by issuing preferred shares through this U.S. listing to further accumulate bitcoin. The shareholder vote has passed, but the transaction has not yet closed; whether this financing pathway can succeed is the real test that lies ahead of these 2,100 BTC.
