Clarification on the MetaPlanet Series 10 Controversy. Someone asked: Why are there so many options for management and key personnel? It’s not a fixed amount—it’s a fixed percentage. As the company issues more shares, the options increase accordingly, maintaining approximately 20% on a fully diluted basis. This is highly unusual by public company standards. MetaPlanet’s response: We disclosed it—in Japanese TSE filings. These were contracts from our hotel business days, before we transitioned into a Bitcoin financial company. The exercise price is 10 yen. The fully diluted share count and BTC Yield already included these options from the start. After the controversy arose, they revised it: they removed the percentage-based adjustment clause and fixed the number at approximately 319 million shares. They also imposed a five-year lock-up on the exercisable shares. However, they did not reverse the already-issued shares—so the option volume remains large, still around 20% of the company. We also asked Strive: What about you? The CEO replied within an hour: Compensation is tied to Bitcoin appreciation per share and excess returns relative to Bitcoin. The company-wide total stock-based compensation is less than 1% of market cap annually. The 5% figure is not an annual target—it’s a cap. Conclusion? Individual investors needn’t worry as long as the stock price rises—they can simply sell if they dislike it. But the company is different: this structure may later become a problem for trust and fundraising costs when the company needs to secure capital to buy Bitcoin.
