Polymarket Integration User Agreement and Risk Disclosure

1. Introduction

This User Agreement and Risk Disclosure (“Agreement”) governs your access to and use of Polymarket prediction markets, event contracts, blockchain protocols, smart contracts and related services made available through the interface provided by KuCoin (“Polymarket Services”). Polymarket Services are operated by Polymarket independently of KuCoin.
“Polymarket” means the operator of the international Polymarket platform through which the relevant Polymarket Services are made available, as identified in the applicable Polymarket terms of service presented to you before you access or use the Polymarket Services. For the avoidance of doubt, Polymarket does not include Polymarket US or any U.S.-regulated platform unless expressly stated otherwise.
By accessing or using Polymarket Services through KuCoin, you acknowledge that you have read, understood and agreed to this Agreement, the terms of service, privacy policy, market rules and other applicable terms issued by the relevant Polymarket operator and presented or linked to you before your use of the Polymarket Services, and KuCoin’s applicable user agreement, privacy policy and risk disclosures.

 

2. Nature of Integration

2.1

KuCoin provides an interface through which eligible users may access Polymarket Services and submit instructions relating to prediction markets, event contracts or other products made available by Polymarket.

2.2

Orders and other instructions submitted through KuCoin interface are initiated solely by you and transmitted through application programming interfaces or other technical connections to Polymarket.
KuCoin does not independently originate orders, select markets, determine trading strategies or exercise discretion over your trading decisions.

2.3

Assets used in connection with Polymarket Services may be held through KuCoin’s Web3 wallet infrastructure. You authorize KuCoin to transmit your instructions and to transfer, lock, deduct, release or otherwise process the relevant assets as reasonably necessary to execute your instructions and facilitate settlement through Polymarket.

2.4

Although you are not required to establish a separate account directly with Polymarket, transactions submitted through KuCoin remain subject to Polymarket’s applicable market rules, operational procedures and settlement mechanisms.

2.5

KuCoin does not create, sponsor, administer, operate or resolve any prediction market, event contract or outcome-based market provided by Polymarket. Unless expressly stated otherwise, KuCoin does not:
  • determine market rules, eligible outcomes or settlement criteria;
  • determine or verify the occurrence or result of any underlying event;
  • operate or control any oracle, resolution or governance mechanism;
  • act as counterparty to your transaction;
  • guarantee the execution, pricing, liquidity or settlement of any order; or
  • provide investment, legal, tax or financial advice.

2.6

The availability of Polymarket Services through KuCoin does not constitute an endorsement, recommendation, verification or approval of Polymarket or any market, event, contract, outcome or trading strategy.

 

3. User Eligibility and Geographic Restrictions

3.1

Access to Polymarket Services is available only to users whom KuCoin determines to be eligible based on applicable laws, regulatory requirements, sanctions restrictions, geographic restrictions, account status and KuCoin’s internal compliance and risk-management requirements.

3.2

You must provide complete, accurate and up-to-date information requested by KuCoin and complete any identity verification, sanctions screening, geographic verification or other compliance procedures required by KuCoin.

3.3

You must not access or use Polymarket Services if:
  • you are located, incorporated or ordinarily resident in a restricted jurisdiction;
  • your access or use would violate any applicable law or regulation;
  • you are subject to applicable sanctions or other legal restrictions;
  • you use a virtual private network, proxy or other method to conceal or misrepresent your location or identity; or
  • you otherwise fail to satisfy the eligibility requirements imposed by KuCoin.

3.4

KuCoin may, at any time and without prior notice where reasonably necessary, restrict, suspend or terminate your access to Polymarket Services, reject or cancel an instruction that has not been executed, or require additional information where KuCoin reasonably considers such action necessary for legal, regulatory, sanctions, security, technical or risk-management purposes.
KuCoin’s eligibility controls do not constitute a representation that your use of Polymarket Services is lawful in every jurisdiction applicable to you. You remain responsible for complying with the laws applicable to your activities.

 

4. User Instructions and Order Transmission

4.1

You are solely responsible for reviewing and confirming all order details before submitting an instruction, including the relevant market, position, direction, price, quantity, fees, potential payout and settlement conditions.

4.2

An instruction submitted through your Exchange account and authenticated using the applicable security credentials will be treated as an instruction authorized by you. Once transmitted to Polymarket, an instruction may be irreversible and may not be amended or cancelled.

4.3

KuCoin acts as a technical facilitator in transmitting your instructions to Polymarket. Acceptance or display of an instruction by KuCoin does not mean that the instruction has been accepted, matched, executed or settled by Polymarket.

4.4

Execution, matching, pricing, liquidity, suspension, cancellation, market resolution and settlement are subject to Polymarket’s systems, rules and decisions.

4.5

KuCoin may rely on information received from Polymarket when displaying orders, positions, market data, outcomes or settlement information. Delays or discrepancies may occur between information displayed by KuCoin and the records maintained by Polymarket.
Polymarket’s records, together with the relevant blockchain and smart-contract records, will prevail in relation to the execution, resolution and settlement of a Polymarket transaction. KuCoin may correct any information displayed through its interface or any related account record to reflect such records.

 

5. Asset Handling and Settlement

5.1

You authorize KuCoin to transfer, reserve, lock or deduct assets held through KuCoin’s Web3 wallet infrastructure to facilitate your transactions and satisfy applicable fees, settlement obligations or other amounts arising from your instructions.

5.2

Assets committed to Polymarket Services may become subject to the relevant smart contracts, protocols and Polymarket’s rules. Such assets may be unavailable for withdrawal, transfer or other use while an order, position, dispute, market resolution or settlement remains pending.

5.3

KuCoin does not guarantee that any asset transferred to or committed through Polymarket Services can be immediately recovered, withdrawn or converted. Availability may depend on blockchain confirmations, smart-contract operation, liquidity, Polymarket’s systems and completion of the applicable market settlement process.

5.4

Amounts displayed through KuCoin interface may be provisional until final execution and settlement information is received from Polymarket and processed by KuCoin.

5.5

KuCoin may make reasonable corrections to account records where necessary to reflect the actual execution or settlement results received from Polymarket, provided that KuCoin will not use this provision to alter the substantive result determined by Polymarket.

 

6. No Warranties or Representations

6.1

To the maximum extent permitted by applicable law, KuCoin makes no representation or warranty regarding:
  • the security, functionality, reliability, legality or performance of Polymarket Services;
  • the accuracy or completeness of information supplied by Polymarket;
  • the liquidity, pricing, availability or settlement of any market;
  • the accuracy or reliability of any oracle or event-resolution mechanism; or
  • uninterrupted or error-free access to Polymarket Services.

6.2

KuCoin does not independently audit or guarantee Polymarket’s code, smart contracts, systems, governance mechanisms or security arrangements.

6.3

The availability or display of any market, event, topic, price, probability, trend, ranking or other data does not constitute investment advice, a forecast, a guarantee of outcome or a representation of actual real-world probability.

 

7. Risk Disclosure

By using Polymarket Services through KuCoin, you acknowledge and accept the following non-exhaustive risks:
  • Market risk: Prices, implied probabilities and liquidity may fluctuate significantly, and you may lose all assets committed to a position.
  • Prediction market risk: The wording of a market or the criteria used to determine an outcome may differ from your personal interpretation or expectations.
  • Oracle and resolution risk: Settlement may depend on external data, oracles, administrators or governance mechanisms that may be delayed, inaccurate, disputed or manipulated.
  • Liquidity and execution risk: Orders may be executed partially, at an unexpected price, or not executed at all.
  • Smart-contract risk: Vulnerabilities, exploits or errors in smart contracts may result in irreversible loss.
  • Polymarket risk: Polymarket may suspend operations, change its rules, experience a security incident or cease providing services.
  • API and integration risk: Technical failures, delays or inconsistencies between KuCoin and Polymarket may affect order transmission, display or settlement.
  • Custody and transfer risk: Assets transferred, locked or committed through the integration may become temporarily or permanently unavailable.
  • Market suspension risk: A market may be suspended, modified, cancelled or forcibly settled without prior notice.
  • Blockchain risk: Congestion, forks, validator failures or other network events may delay or prevent transactions.
  • Regulatory risk: Laws or regulatory requirements may change and may result in restricted access, suspension, forced closure or inability to settle or withdraw assets.
  • Cybersecurity risk: Unauthorized access, malware, phishing, credential theft or other attacks may result in loss of assets or account access.
  • Informational risk: Market prices and displayed probabilities do not necessarily represent objective probabilities or reliable forecasts.
You accept full responsibility for determining whether a transaction is suitable for you and for all market losses resulting from your trading decisions.

 

8. Limitation of Liability

8.1

To the maximum extent permitted by applicable law, KuCoin will not be liable for losses resulting from:
  • your trading decisions or instructions;
  • market movements, insufficient liquidity or slippage;
  • the operation, failure or misconduct of Polymarket;
  • market creation, suspension, resolution or settlement decisions made by Polymarket;
  • the failure, delay or manipulation of an oracle or external data source;
  • blockchain congestion, forks or network failures;
  • failures, delays, errors, interruptions or inconsistencies affecting any API, technical connection, interface or transmission of instructions between KuCoin and Polymarket;
  • smart-contract vulnerabilities or exploits; or
  • inaccurate or delayed data supplied by Polymarket.

8.2

KuCoin will not be liable for indirect, incidental, special, punitive or consequential losses, including loss of profits, loss of opportunity, loss of anticipated savings or loss of data, to the maximum extent permitted by applicable law.

 

9. User Responsibilities

You are responsible for:
  • safeguarding your account credentials, authentication methods and devices;
  • reviewing all instructions before submission;
  • understanding the relevant market rules and settlement criteria;
  • conducting your own assessment of Polymarket Services and each transaction;
  • maintaining sufficient assets to satisfy your instructions and obligations;
  • complying with applicable laws and geographic restrictions; and
  • promptly notifying KuCoin of unauthorized account access or suspicious activity.
You must not manipulate or attempt to manipulate any market, use material non-public information unlawfully, engage in fraud or abusive trading, interfere with the operation of Polymarket Services, or circumvent any eligibility or access restriction.

 

10. Data Privacy

To provide the integration, perform compliance checks, transmit instructions and facilitate settlement, KuCoin may collect, process and disclose relevant information to Polymarket. Such information may include account identifiers, wallet addresses, transaction information, device information, location information and compliance-related data.
KuCoin’s processing of personal data is governed by KuCoin’s Privacy Policy. Information independently processed by Polymarket is governed by Polymarket’s privacy policy.

 

11. Suspension, Modification and Termination

KuCoin may modify, suspend or discontinue the Polymarket integration where reasonably necessary due to legal, regulatory, sanctions, security, technical, operational, liquidity or Polymarket-related considerations.
Suspension or discontinuation of the interface does not necessarily cancel, reverse or terminate an order or position already transmitted to Polymarket. Existing positions and assets may remain subject to Polymarket’s rules until final resolution and settlement.
Where access to the Polymarket Services is restricted, suspended or discontinued, KuCoin may, to the extent reasonably necessary or practicable:
  • reject new instructions or restrict users from opening new positions;
  • permit closing transactions only;
  • cancel or request the cancellation of pending or unexecuted orders;
  • continue to process existing positions in accordance with Polymarket’s rules and the relevant blockchain or smart-contract records;
  • process settlement, redemption, transfer or return of assets based on information received from Polymarket or the relevant protocol; or
  • adopt any other reasonable measure necessary to comply with applicable law, protect users or facilitate the orderly suspension or discontinuation of the integration.
KuCoin does not guarantee that a position can be closed, transferred, redeemed or settled following any restriction, suspension or discontinuation. Where KuCoin is technically or legally unable to continue providing the interface, existing positions may remain subject to Polymarket’s rules, smart contracts and settlement mechanisms, and KuCoin shall have no obligation to assume, purchase or compensate the user for such positions.

 

12. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify KuCoin, its affiliates, directors, officers, employees and agents against claims, losses and reasonable expenses arising from:
  • your material breach of this Agreement;
  • your violation of applicable law;
  • your fraud, wilful misconduct or market manipulation;
  • your infringement of another person’s rights; or
  • your unauthorized or unlawful use of Polymarket Services.

 

13. Relationship with Other Terms

This Agreement supplements KuCoin’s general user agreement, privacy policy and applicable risk disclosures. Those documents remain in full force and effect.
In relation specifically to Polymarket Services, this Agreement prevails to the extent of any inconsistency with KuCoin’s general user agreement. Polymarket’s terms govern the operation, execution, market resolution and settlement of Polymarket Services.

 

14. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Seychelles, without regard to its conflict-of-laws principles.
Any dispute arising out of or relating to this Agreement shall be resolved in accordance with the dispute-resolution provisions contained in KuCoin’s general user agreement.

 

15. User Acknowledgement

By accessing or using Polymarket Services through KuCoin, you confirm that:
  • you satisfy the applicable eligibility requirements;
  • you have read and accepted this Agreement and Polymarket’s terms;
  • all instructions are made solely on your own initiative and judgment;
  • you understand that the relevant markets are operated and resolved by Polymarket independently of KuCoin; and
  • you understand and voluntarily accept the risks described in this Agreement.
