KCUSD Terms of Use
When you subscribe to, purchase or otherwise engage in KCUSD, provide a confirmation through our platform, or accept these Terms in any other way, it will be deemed that you have fully read and understood all terms of the KCUSD Terms of Use and any terms expressly incorporated herein (collectively, the “Terms”), and agreed to be legally bound by these Terms. KuCoin reserves the right to change or modify the conditions of these Terms at any time at its sole discretion. You should periodically review these Terms for the latest changes.
These Terms shall be read together with Terms of Use, KuCoin Earn General Terms of Use, and any other product-specific terms, policies, or rules applicable to KCUSD. All the above terms are incorporated by reference and have the same force and effect as if set out in these Terms. These Terms do not alter the terms or conditions of any other electronic or written agreement you may have with us for the Services or for any other product or service otherwise.
1. Disclaimer
1.1 KuCoin will not give advice to you on the merits of any trade and shall deal with you on an execution-only basis. None of o KuCoin employees or staff are authorized to give you investment advice. Accordingly, you should not regard any proposed trades, suggested trading strategies, or other written or oral communications from KuCoin as investment recommendations or advice or as expressing the view as to whether a particular trade is suitable for you or meets your financial objectives. You must rely on your own judgment for any investment decision you make in relation to your account. If you require investment or tax advice, please contact an independent investment or tax adviser. You acknowledge and agree that you have made your own independent analysis and decision when executing a trade and such trades are entered into without reliance upon any views, representations (whether written or oral), advice, recommendation, information, or other statements by KuCoin.
1.2 KCUSD represents solely a record of Subscription from your Stablecoin Assets to KCUSD and resultant Rewards with respect to these Terms. KCUSD does not constitute a Stablecoin, nor is it a security, a fund, a tokenized Real World Asset (RWA), an on‑chain asset, or any other type of financial instrument. Holding KCUSD does not confer upon you any ownership, proprietary interest (whether direct or indirect), or claim against any underlying assets, pool, or portfolio, and your rights and obligations with respect to KCUSD are strictly limited to those expressly set forth in these Terms. Nothing herein shall be construed as an offer, solicitation, or sale of any regulated financial product.
1.3 KCUSD is not formally registered with any governmental or regulatory body. All asset management activities are conducted by independent third-party entities, which may not be licensed or authorized in your specific jurisdiction. KuCoin does not exercise any discretionary authority or management over the underlying assets of KCUSD. KuCoin does not act, and shall not be construed as acting, in the capacity of a fund manager, fiduciary, broker, intermediary, agent, advisor, or trustee in connection with KCUSD. Any subscription of KCUSD does not establish a legal relationship of a collective investment scheme, trust, fund interest, pooled investment arrangement, or a partnership between you and us.
1.4 Except as expressly provided to the contrary in writing by us, our Services are provided on an “As is” and “As available” basis. KuCoin expressly disclaim, and you waive, all warranties of any kind, whether express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title and non-infringement as to our Services, including the information, content and materials contained therein, to the fullest extent permitted by applicable laws.
1.5 You irrevocably acknowledge and agree that your rewards or earnings are not guaranteed return but contingent upon and are subject to variable factors, all of which may cause significant fluctuations in actual amount of rewards. Any projected or estimated rewards amount or ratios displayed by KuCoin are for reference only and shall not be construed as guaranteed performance. KuCoin assumes no responsibility for the accuracy of such estimates, and you shall be solely responsible for independently evaluating the potential rewards based on the KCUSD you subscribe.
1.6 KuCoin disclaims all liability and responsibility for any losses, damages, or missed opportunities arising from or related to the acts, omissions, performance, negligence, insolvency, or default of any third-party entity engaged in the management, custody, or handling of assets associated with KCUSD. KuCoin bears no obligation or liability for the management decisions, operational failures, or any form of misconduct by these external managers.
2. Definitions
Capitalized terms not otherwise defined in these Terms will have the following meaning:
“APR” means, in respect of any applicable period, the annualized percentage rate calculated on a 365‑day basis, as determined and displayed by KuCoin in its sole and absolute discretion.
“Redemption”/“Redeem” means ending your participation in KCUSD by requesting the return of all or part of your Stablecoin Assets, in accordance with these Terms.
“Rewards” means the rewards that accrue daily based on KCUSD held in your account, subject to these Terms.
“Services” mean all services provided by KuCoin through your access and the use of KCUSD, and any of its ancillary services.
“Stablecoin” means a digital token pegged to a fiat currency, designed to maintain a stable value.
“Stablecoin Assets” means the Stablecoin used by you to subscribe for KCUSD.
“Subscription”/“Subscribe” means accepting and subscribing Stablecoin Assets to KCUSD, in accordance with these Terms.
3. Risk Disclosure
3.1 You understand and recognize that the subscription of KCUSD and related services during operation involves certain risks, and that the risks outlined in these Terms are not an exhaustive list. These risks and any other risks that arise now or in the future may cause you to be unable to obtain any rewards, suffer financial losses, or even the termination of our Services.
Before subscribing KCUSD and making use of the related services, you should ensure that you have sufficient experience and knowledge in blockchain technology, product functionality, and the associated risks. Any decision by you to participate in any subscription of KCUSD and related services associated with its operation should be based on due diligence and/or professional consultation as deemed necessary by you.
3.2 When you subscribe KCUSD, you are deemed to have recognized, understood, and accepted all risks related to subscription, Redemption, exchanging, and holding of KUCUSD. This includes but is not limited to:
3.2.1 Market fluctuations, with the possibility of prices experiencing sharp declines or even dropping to zero.
3.2.2 Waiting periods before transactions can be confirmed. When a transaction is unconfirmed, this means that it has not been completed.
3.2.3 Transactions are irreversible. You will not be able to reverse transactions of any amount of funds to an incorrect person or address, nor will you be able to recover the funds.
3.2.4 Blockchain technology may possess inherent unknown technical defects.
3.2.5 Certain countries or regions may introduce new laws, regulations, or policies that affect the performance of these Terms or the operation, performance, Redemption of KCUSD.
3.3 KuCoin endeavor to take all reasonable measures to safeguard user assets. Notwithstanding that, you acknowledge and agree that, during any extreme and exceptional conditions, KuCoin may not have sufficient assets readily available to satisfy Redemption requests or return your Stablecoin Assets in a timely manner, and as a result, you may not be able to receive the corresponding Stablecoin Assets immediately, or you may lose some or all of your Stablecoin Assets. This can occur due to various factors, such as (a) concentrated exposure to particular digital assets; (b) market-wide liquidity crunches; (c) catastrophic hacks or technical failures; (d) market volatility; and (e) any misconduct by independent third party.
3.4 You shall be aware of and accept specific risks inherent in delegating asset management to independent third parties. These risks include, but are not limited to, the risk of the third-party manager's breach of contract, failure to adhere to its stated strategy, inadequate management capabilities, operational errors, cyber-security failures on its part, negligence, fraud, misrepresentation, or insolvency. Furthermore, the third-party manager may not be subject to regulatory oversight in relevant jurisdictions, and KuCoin does not provide guarantees, or assume any duty to for the ongoing performance or creditworthiness of these external managers.
4. Subscription and Redemption
4.1 Within applicable subscription limit and the total product quota, you may subscribe KCUSD with the designated Stablecoin at an exchange rate of 1:1.
4.2 In addition to the provisions set out in these Terms, and prior to subscribing to any KCUSD, you shall read and agree to specific terms provided on KuCoin (including any associated pop-out pages), such as asset type, amount, rewards, and offer type.
4.3 KuCoin may, at any time and in its sole and absolute discretion without prior notice, refuse or cancel any subscription of KCUSD submitted via the Services, impose any limits on the transaction permitted via the Services or impose any other conditions or restrictions upon your use of the Services, and/or mandatorily redeem all or some KCUSD of any user. KuCoin reserves the right to change any definitions, description, order procedure, rules, restrictions and limitations on uses, transaction or functionalities of KCUSD at any time for any reason.
4.4 KCUSD subscribed by you is not minted on any blockchain network and cannot be withdrawn, deposited, or transferred outside KuCoin. KCUSD can only be held in your own account on KuCoin and used solely within the scope of these Terms.
4.5 Subject to applicable restrictions that may apply from time-to-time in accordance with KCUSD, you may initiate a request to redeem KCUSD for Stablecoin at an exchange rate of 1:1. All Redemptions will be settled only in the same form of Stablecoin as the one used for your subscription.
By submitting a Redemption request, you expressly and irrevocably waive and forfeit all rights to any and all undistributed rewards, incentives, or other benefits accrued to your KCUSD, from the time your request is submitted.
4.6 KuCoin may offer different Redemption modes, including but not limited to fast Redemption and standard Redemption. KuCoin has the right to deduct a Redemption fee calculated at the variable rate from the total Redemption amount, as displayed on the relevant product page at the time of your request. KuCoin reserves the right to modify Redemption terms, including imposing fees, minimum/maximum amounts, subscription limits, or processing delays, as necessary for operational and risk management purposes.
4.7 KuCoin does not represent, warrant, or guarantee that Redemption will be instant, immediate, or available for your specific assets or at any particular time. The nature, timing, and availability of Redemption are determined solely by KuCoin and may vary by product type, jurisdiction, and user. KuCoin reserves the right, in its sole and absolute discretion, at any time without prior notice or liability, to: (i) decline, delay, limit, or reject any Redemption request for any reason, (ii) suspend, modify, or terminate the Redemption feature, in whole or in part.
4.8 You acknowledge and agree that the value of the digital assets you receive upon Redemption may be materially different from the value at the time of subscription or at the time of Redemption request, due to market volatility, fees, discounts, liquidity constraints, or other factors. KuCoin disclaim all liability for any financial outcome resulting from your use of the Redemption feature.
4.9 KuCoin reserves the right, and you irrevocably grant KuCoin the sole discretion, to redeem KCUSD from you at any time and for any reason, with or without prior notice. You are not entitled to any damages, compensation, or reimbursement in connection with or arising from such Redemption.
4.10 You understand that KuCoin may provide tutorials, explanation, analysis guidance or training programmes in connection with KCUSD and you acknowledge that none of these provided or made available to you constitute any form of investment or financial advice and you should make your independent judgment in terms of the suitability of the KCUSD.
5. Rewards
5.1 Rewards are automatically calculated on a daily basis based on your eligible KCUSD and the applicable APR. Rewards begin accruing on the next calendar day (T+1) following your successful subscription, with the first distribution credited to your account on the day following that accrual date (T+2). All distributed Rewards are credited solely in KCUSD and are consolidated into your KCUSD holdings.
5.2 The APR or any other reward rate applicable to KCUSD for any specific period shall be determined by KuCoin in its sole and absolute discretion, taking into account a variety of factors including without limitation the prevailing volatility in markets, and the sustainability of the KCUSD under current market conditions. KuCoin may dynamically adjust the applicable APR or any other reward rate from time to time, and there is no guarantee that any Reward will be generated on any given day, meaning that the APR may be zero for specific periods.
5.3 Rewards accured based on your KCUSD are derived from the operating income of KuCoin’s ecosystem, including but not limited to the investment returns generated from Real World Assets (RWA), and any other income streams as determined by KuCoin.
5.4 The timing and frequency of Reward distributions of KCUSD are determined solely by KuCoin and may vary based on blockchain network conditions, operational requirements, or other factors at KuCoin’s sole and absolute discretion. Without prejudice to any other rights under these Terms, KuCoin reserves the right at any time and without prior notice, to amend, suspend, modify or terminate the Reward mechanism, applicable APR, calculation methodology, distribution schedule or any other aspect of Reward distribution, as KuCoin deems necessary for operational, risk management or commercial sustainability purposes. You acknowledge and agree that KuCoin shall not be liable to you for any loss in anticipated Rewards arising from the exercise of such discretionary rights.
5.5 For avoidance of doubt, upon your submission of a Redemption request, the relevant portion of KCUSD subject to that request is immediately ceases to accrue any Rewards as of the date of the Redemption request. The final Rewards for that portion shall be calculated only up to and including the day immediately preceding the Redemption request date, and no Rewards shall accrue during the entire Redemption processing period.
6. Prohibited Activities
KuCoin reserve the right, in its sole and exclusive discretion, to monitor, review, and assess all activity related to your KCUSD and the use of our Services. If KuCoin determine, in its sole judgment, that you have engaged or are likely to engage in any activity that KuCoin deem to be abusive, malicious, manipulative, fraudulent, or that otherwise poses a risk to KuCoin, its users, the integrity of any network, or violates any applicable law, regulation, or these Terms (including but not limited to market manipulation, wash trading, exploitation of vulnerabilities, suspicious or anomalous transactions, or any attempt to circumvent policies or protocols), KuCoin may take immediate action without prior notice to you. Such actions may include but are not limited to: (i) the immediate and compulsory Redemption of your KCUSD; (ii) freezing or permanent forfeiture of all or part of your KCUSD, including any accrued or pending Rewards; (iii) the suspension or termination of your access to all or part of our Services; and/or (iv) the reporting of such activity to relevant authorities. You agree that KuCoin shall not be liable for any losses, damages, or claims arising from or related to the exercise of our rights under this section.
7. Modification and Termination of Services
7.1 You acknowledge and agree that KCUSD has the right to restrict or suspend your access and engagement to KCUSD and the Services in the following circumstances:
(1) KuCoin suspect that you have violated these Terms or any applicable laws, regulations, specific service terms, or other policies, procedures, or rules announced by KuCoin;
(2) a subpoena, court order, or other government order requires us to restrict or suspend such access;
(3) the involved account is involved in pending litigation, investigation, and/or administrative proceedings;
(4) KuCoin has reasonable suspicion that you are making use of its Services in an illegal, fraudulent, or otherwise improper manner;
(5) KuCoin has become aware of or suspect unusual or unauthorized activity in relation to your account.
You agree that KuCoin shall not be liable for any loss or damage caused by such restriction or suspension of access.
7.2 KuCoin may, in its sole discretion, at any time, for any or no reason and without liability to you, with or without prior notice, (i) terminate all rights and obligations between you and KuCoin derived from these Terms, (ii) suspend your access to all or a portion of KCUSD and/or the Services, (iii) modify, suspend or discontinue, temporarily or permanently, any portion of the Services, or (iv) provide enhancements or improvements to the features and functionality of KCUSD, which may include patches, bug fixes, updates, upgrades and other modifications. Any such change may modify or delete certain portions, features or functionalities of the Services. You agree that all changes will be (i) deemed to constitute an integral part of the Services and (ii) subject to these Terms. You acknowledge and agree that you do not expect all Services provided by KuCoin to be continuous or uninterrupted. KuCoin shall not be liable for any and all losses resulting from the suspension or interruption of its Services for any maintenance or upgrade of its systems.
8. Liability
8.1 You agree and accept that subject to the non-duplication of any other compensation or right of indemnification outlined in these Terms, you shall indemnify KuCoin for any loss, liability, claim, accusation, action, lawsuit, or expense (collectively referred to as “Losses”, including reasonable attorney’s fees), provide defense to KuCoin with regard to the aforementioned, and ensure that KuCoin does not suffer any such losses.
8.2 Except as otherwise required by law, in no event shall KuCoin, its directors, officers, members, employees, agents or contractors be liable for any direct, special, indirect or consequential damages, or any other damages of any kind, including but not limited to loss of use, loss of profits or loss of data, whether in an action in contract, tort (including but not limited to negligence) or otherwise, arising out of or in any way connected with the use of or inability to use our Services, the subscription of KCUSD, or any risk identified in these Terms.
8.3 KuCoin and/or its affiliates, directors, officers, members, employees, agents or contractors will not be responsible for any compensation, reimbursement, or damages arising in connection with: (i) your inability to use the Services, including without limitation as a result of any termination or suspension of the Services or these Terms, power outages, maintenance, defects, system failures, mistakes, omissions, errors, defects, viruses, hacking, delays in operation or transmission or any failure of performance, (ii) any allegation, claim, or regulatory action asserting that KCUSD constitutes a security, tokenized security, or any other regulated financial instrument, (iii) any of your investments, expenditures, or commitments in connection with these Terms or your use of or access to the Services, (iv) your reliance on any information obtained from KuCoin, (v) force majeure events, communications failure, theft or other interruptions or (vi) any unauthorized access, alteration, deletion, destruction, damage, loss or failure to store any data, including records, private key or other credentials, associated with the Services. As the subscribed KCUSD are related to computer and internet technology, you also agree that incidents caused by hackers, viruses, or telecommunications technology do not constitute a breach of contract by KuCoin.
9.Miscellaneous
9.1 Amendment. KuCoin reserves the right to make changes or modifications to these Terms from time to time, in its sole discretion. If KuCoin makes changes to these Terms, KuCoin will post the amended Terms. You are responsible for reviewing and abiding by the latest version. You agree that by accessing and/or using the Services following any amendment to these Terms, you are agreeing to accept such amendment. Any amended Terms will apply prospectively to use of the Services after such changes become effective in accordance with these Terms. If you do not agree to any amended Terms, you must discontinue using our Services.
9.2 The subscription, Redemption or otherwise engagement of KCUSD shall also be governed by any documentation and guidelines as updated from time to time and/or as displayed on the relevant product page. Notwithstanding any terms provided in these Terms, you acknowledge and agree that KCUSD shall have the absolute discretion in determining the interpretation of any commercial terms related to the KCUSD.
9.3 Third-Party Content. In using our Services, you may view, access, or otherwise encounter content provided by third parties (“Third-Party Content”), which includes without limitation any information, data, market analyses, or other materials that originate from third‑party sources and are displayed on KuCoin. KuCoin does not control, endorse, or adopt any Third‑Party Content, and expressly disclaims any responsibility or liability for such content, including without limitation any material that may be misleading, incomplete, erroneous, offensive, indecent, or otherwise objectionable. You acknowledge and agree that KuCoin is not responsible for the accuracy, completeness, or reliability of any Third‑Party Content. Your use of or reliance upon any Third‑Party Content is solely at your own risk.
