Kucoin Alpha Tokenised Securities User Agreement

This "Kucoin Alpha Tokenised Securities User Agreement" (hereinafter referred to as "this Agreement") applies to your access to and use of the Tokenised Securities trading services provided on the Kucoin Alpha platform. This Agreement is supplementary to the "Kucoin Alpha Terms of Use". By accessing, browsing, or using the Tokenised Securities services on Kucoin Alpha, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.

  1. Scope and Acceptance of Terms

This Agreement governs your use of the Tokenised Securities trading services provided under the Kucoin Alpha section (hereinafter the "Alpha Services"). The Alpha Services allow eligible users to trade blockchain-based tokens whose value is derived from or represents an interest in traditional financial instruments (hereinafter "Tokenised Securities"). This Agreement constitutes a legally binding contract between you and Kucoin. If you do not agree to any of the terms herein, you must immediately cease accessing or using Alpha Services.
KuCoin Alpha acts solely as a technology platform and trading interface provider, and does not act as an issuer, trustee, custodian, broker, investment advisor, asset manager, or fiduciary for any Alpha Assets, Underlying Assets, or related products.
KuCoin assumes no responsibility or liability for the issuance, redemption, valuation, management, custody, processing of Corporate Actions, or the performance of the Underlying Assets in relation to any Alpha Assets.

  1. Definitions

  • "Alpha Assets": Specifically refers to Tokenised Securities listed and available for trading on the Kucoin Alpha board.
  • "Platform": Refers to the Kucoin website, mobile applications, and any related APIs that provide access to Kucoin Alpha.
  • "Underlying Asset": Refers to the traditional financial instruments (such as equities, bonds, commodities, or funds) that Alpha Assets represent, track, or derive their value from.
  • "Corporate Action": Refers to any event initiated by the issuer of the Underlying Asset that brings a material change to the asset, including but not limited to dividends, stock splits, mergers, and spin-offs.

  1. User Eligibility and Access to Services

To access Alpha Services, you represent and warrant that:
a. You have fully passed Kucoin's Know Your Customer (KYC) and Anti-Money Laundering (AML) identity verification procedures.
b. You have reached the legal age to enter into a legally binding contract and possess full civil capacity to accept these terms.
c. You are not a resident of, or located in, any jurisdiction that restricts or prohibits the trading of Tokenised Securities (including but not limited to the United States, mainland China, and other restricted regions as determined by Kucoin).
d. If required by the laws of your jurisdiction, you qualify as a sophisticated or professional investor. Kucoin reserves the right to restrict your access to the Alpha Services at its sole discretion based on regulatory requirements.
e. You and your ultimate beneficial owner(s) are not the subject of sanctions on any applicable sanctions lists, and will not use the Alpha Services in violation of any applicable sanctions, anti-money laundering (AML), counter-terrorism financing (CTF), or export control laws and regulations.

  1. Use of Alpha Services

(1) Availability of Alpha Assets Kucoin does not guarantee the continuous availability of any specific Alpha Asset. We reserve the right to list, suspend, or delist any Tokenised Securities on the Alpha board at any time, especially in response to regulatory actions, liquidity issues, or changes in the status of the Underlying Asset.
KuCoin reserves the right to suspend, restrict, or cease the trading, settlement, deposit, withdrawal, transfer, or other related services of any Alpha Assets under the following circumstances:
(i) The trading of the Underlying Asset is suspended;
(ii) The occurrence of a Corporate Action;
(iii) Extreme market volatility or material market disruption events;
(iv) Insufficient liquidity;
(v) At the request of third-party service providers, custodians, or liquidity providers;
(vi) At the request or requirement of regulatory authorities;
(vii) Any other circumstances deemed necessary by KuCoin to protect users or maintain market stability.
(2) Buying and selling Alpha Assets
  • (i) General Rules: All orders placed for Alpha Assets are subject to the trading rules established by Kucoin.
  • (ii) Form of Purchase Price: The purchase price for Alpha Assets must be paid in supported cryptocurrencies or stablecoins (e.g., USDT) as designated by Kucoin on the trading page. You must maintain a sufficient available balance in your account to cover the purchase price and associated fees.
  • (iii) Trading Parameters: Kucoin may, at its sole discretion, impose restrictions on trading parameters, including but not limited to minimum/maximum order sizes, price bands, and slippage tolerance. You acknowledge and accept that Alpha Assets may experience severe price volatility.
  • (iv) Order Execution: Although Kucoin will endeavor to execute your orders promptly, execution is dependent on market liquidity and the availability of the underlying asset. We do not guarantee that your orders will be executed at the exact requested price. Under extreme market volatility or a lack of liquidity, orders may be partially filled, delayed, or canceled.
  • (v) In the event that anomalies occur in order prices, transaction results, or account records due to system failures, technical errors, software bugs, data feed errors, pricing errors, communication failures, human errors, or other manifest errors, KuCoin reserves the right, at its sole discretion, to cancel, reverse, adjust, or correct the relevant transactions or account records, without prior notice to the user.
(3) Managing your Alpha Assets
By holding Alpha Assets on the Platform, you acknowledge and agree that holding Alpha Assets does not confer upon you any shareholder rights, creditor rights, beneficial ownership, voting rights, information rights, inspection rights, redemption rights, pre-emptive rights, participation rights, or any similar rights with respect to the Underlying Asset or its issuer, unless expressly provided otherwise in writing by KuCoin. KuCoin assumes no responsibility or liability for any discrepancies, delays, or failures in processing Corporate Actions caused by third-party custodians, smart contract limitations, or regulatory restrictions.
KuCoin reserves the right, at its sole discretion, to determine whether to support any Corporate Action, as well as the relevant handling procedures, timelines, calculation methods, eligibility criteria, and value conversion methods.
KuCoin does not guarantee that all Corporate Actions will be supported or fully reflected in the Alpha Assets.
(4) Transaction history
You may access your Alpha Asset transaction history through your Kucoin account. While we make every effort to ensure the accuracy of these records, you are solely responsible for reviewing your own transaction history. Any discrepancies must be reported to Kucoin Customer Support within three (3) days after the transaction occurs; otherwise, the records will be deemed accurate and conclusive.

  1. Fees, Payments, and Taxes

You agree to pay all applicable fees associated with trading Alpha Assets, including trading fees, network/funding rates, and third-party service fees published on the Platform. Kucoin reserves the right to adjust its fee structure at any time. Furthermore, you shall bear sole responsibility for all tax liabilities derived from the profits or transactions arising from your use of the Alpha Asset trading services.

  1. Risk Disclosure

Trading Tokenised Securities on Kucoin Alpha involves the following risks:
  • Market Risk: The price of Alpha Assets can be highly volatile and may not perfectly track the underlying asset.
  • Regulatory Risk: Tokenised Securities may be classified as regulated financial instruments in multiple jurisdictions. Regulatory actions could lead to immediate delisting or freezing of assets.
  • Liquidity Risk: Certain Tokenised Securities assets may have limited trading volume or market depth, leading to price slippage, widened spreads, or the inability to execute orders at expected levels. KuCoin makes no representations or warranties regarding the liquidity of any market or asset. You must carefully consider the potential impact of illiquidity before submitting any order.
  • Price Tracking Risk: The market price of Alpha Assets is determined by market supply and demand dynamics, and may deviate significantly from the market price, net asset value (NAV), reference price, or theoretical value of the corresponding Underlying Asset. KuCoin does not guarantee a continuous, consistent, or accurate price correlation between the Alpha Assets and the Underlying Assets, nor does it guarantee that the Alpha Assets will accurately reflect the performance of the Underlying Assets.
  • Operational Risk: Website operations may experience delays or interruptions due to various factors, including but not limited to technical failures, Distributed Denial of Service (DDoS) attacks, system maintenance, software bugs, or other cybersecurity incidents.
  • Settlement Risk: Unforeseen circumstances may arise where trade settlement cannot be completed in a timely manner. Settlement cycles may vary or be delayed in certain situations, including but not limited to extreme market volatility, network delays, an excessive number of simultaneous redemption instructions from other users, or any other unanticipated events. Settlement times are not guaranteed, and such delays or cancellations may adversely affect the value of digital assets, and your order price may be held on the Platform for longer than expected. KuCoin assumes no liability for any losses or opportunity costs resulting from delayed or failed settlements.
  • Technology, Custody, and Third-Party Risks: Alpha Tokenised Securities services are provided through third-party platforms operating independently of KuCoin. KuCoin does not control the execution, custody, or settlement processes of such third-party platforms. Any errors, defaults, insolvency, or security breaches by these platforms or their liquidity providers may result in transaction delays, asset loss, or trading restrictions. You agree that KuCoin shall bear no responsibility for such risks or for the actions, omissions, or failures of any third-party platforms or service providers.
  • Counterparty Risk: Trades executed through third-party platforms may rely on the performance capabilities of liquidity providers or counterparties. Their default, insolvency, or failure to perform may result in a partial or total loss of your assets. KuCoin does not guarantee the performance capabilities or credit standing of any such third parties.
  • Legal and Tax Risks: The tax treatment of digital assets varies by jurisdiction and is subject to change at any time. You are solely responsible for determining your own tax obligations and complying with local laws. KuCoin does not provide any tax advice, nor does it make any guarantees regarding the tax treatment of any transaction.
  • Other Risks: Other inherent risks of using third-party platforms include, but are not limited to, market forecasting errors, data transmission errors, human errors, system delays, or misinterpretation of market data.
By using Alpha Services, you declare that you fully understand and accept the above risks. Furthermore, you understand and agree that Alpha Services relies in part on the support provided by third-party issuers, custodians, liquidity providers, settlement institutions, and technology service providers. KuCoin makes no representations or warranties regarding the ongoing operational viability, solvency, compliance status, asset security, or performance capabilities of any third party.

  1. Disclaimer of Warranties and Limitation of Liability

(1) The Alpha Services and Alpha Assets are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied. Kucoin explicitly disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. Kucoin shall not be liable for any direct, indirect, incidental, or consequential damages (including loss of profits) arising from your use of the Alpha Services, pricing errors, smart contract vulnerabilities, or the performance of the Underlying Assets.
(2) Any information, pricing data, market analysis, research reports, ratings, leaderboards, market commentary, or other content provided through the KuCoin Alpha Services is for informational purposes only and does not constitute any investment, legal, tax, accounting, or other professional advice. Nothing contained within the Alpha Services shall be construed as a recommendation, solicitation, offer, or endorsement to buy, sell, or hold any Alpha Assets or Underlying Assets. Users shall make their own independent investment decisions and solely bear all associated risks.
(3) KuCoin shall not be held liable for any delay, interruption, suspension, error, loss, or service unavailability caused by Force Majeure events. Force Majeure events include, but are not limited to, natural disasters, war, civil unrest, acts of terrorism, government actions, changes in laws and regulations, sanctions, internet failures, blockchain network anomalies, cyberattacks, power outages, telecommunication failures, and failures of third-party service providers.
(4) To the maximum extent permitted by applicable law, KuCoin's total aggregate liability arising out of or in connection with the Alpha Services shall not exceed the total amount of service fees actually paid by the user to KuCoin for the trading of the relevant Alpha Assets during the twelve (12) months immediately preceding the occurrence of the event giving rise to the relevant claim.

  1. Suspension and Termination of Services

If we suspect that you have violated this Agreement, engaged in market manipulation, or if required to do so by applicable laws, subpoenas, or regulatory authorities, Kucoin reserves the right to immediately suspend, restrict, or terminate your access to the Alpha Services, or freeze your Alpha Assets, without prior notice.
KuCoin also reserves the right to restrict, suspend, or terminate a user's access to the Alpha Services based on sanctions screening, anti-money laundering (AML) reviews, compliance requirements, or regulatory mandates. In the event that Alpha Assets can no longer be offered due to changes in laws and regulations, regulatory requirements, law enforcement actions, termination of third-party services, changes in the status of the Underlying Asset, or other compliance reasons, KuCoin reserves the right to take measures including, but not limited to, suspending trading, restricting trading, forced liquidation, conversion, redemption, cancellation, delisting, or terminating related services. The user agrees to cooperate with such handling arrangements and shall solely bear all associated risks arising therefrom.

  1. Modification of Alpha Terms

Kucoin reserves the right to modify, amend, or update this Agreement at any time to reflect changes in regulatory requirements, operational practices, or market conditions. Any changes will be published on the Platform. Your continued use of the Alpha Services after the publication of the revised Agreement constitutes your binding acceptance of the updated terms.
