KUCOIN CONVERT TERMS AND CONDITIONS

By using KuCoin Convert or by ticking ("✓")"I have read and agree to the Convert Terms and Conditions" or accepting these Convert Terms in any other means, you are deemed to have fully understood and agreed to enter into these Convert Terms with us;  

Note: If you have any concerns or reservations with regard to the content of these  Convert Terms, you may contact us for clarification and assistance in understanding the terms before deciding whether to accept and use our services. If necessary, you shall seek independent professional advice before accepting these terms. 

1. IMPORTANT NOTICES  

1. Terms of Use  

1. These Convert Terms are supplemental to and shall be read in conjunction with KuCoin's Terms of Use ("Terms of Use"). The provisions set out in the Terms of Use shall continue to apply.  

2. All provisions contained in the Terms of Use shall be incorporated by reference and have the same effect as if they were set out in their entirety in these Convert Terms.  

3. Unless expressly stated otherwise, if there is any conflict or inconsistency between the provisions of the Terms of Use and these Convert Terms, the provisions provided in these Convert Terms shall prevail. 

2. Legal Notice 

Prior to using the KuCoin Convert, you shall ensure that you are eligible and capable of entering into a legally binding agreement in your jusridiction to use KuCoin Convert. You also confirm that you are not a resident of a Restricted Jurisdiction (as defined in the Terms of Use) and that you have verified that your country or region of residence permits the use KuCoin Convert.  

You acknowledge and agree that KuCoin has not made any representation or warranty that KuCoin Convert are (or will be) appropriate for any user or in any location. You shall accept full responsibility for any and all legal risks and liabilities resulting from the illegal use of KuCoin Convert in your country/region. 

3. Revisions to the Convert Terms 

Taking into account the constantly shifting nature and content of Internet services, you agree that KuCoin has the right to modify these Convert Terms at its sole discretion.  

You agree to regularly visit and review the latest Convert Terms by visiting the Platform. If you do not agree with the terms of the revised Convert Terms, you shall immediately cease using KuCoin Convert. For the avoidance of doubt, any continued use of KuCoin Convert from your end following the publication of revised terms will be deemed as your acceptance of the most recent version of Convert Terms. 

4. In case of any inconsistency or conflict between language versions of the Convert Terms, or if any language version has omissions, the English version of the Convert Terms shall prevail. 

2. DEFINIT1.IONS  

1. Unless the context otherwise requires and/or otherwise defined in this Convert Terms, capitalised terms used in these Convert Terms shall have the same meaning given to them in the Terms of Use. 

3. KUCOIN CONVERT SERVICE OVERVIEW  

1. Users may convert their crypto assets, in whole or in part, held in Trading or Funding Account, into another crypto asset on KuCoin Convert based on the available trading pairs on KuCoin Convert, and subject to KuCoin’s acceptance or rejection of the request. 

2. Users may request for conversion on KuCoin Convert by placing: 

1. Market Order: Users may specify the type and amount of the crypto asset to be converted and the type of crypto asset to be received; and/or  

2. Limit Order: Users may specify the type and amount of the Assets to be converted and the type of Assets to be received pursuant to such Conversion, the limit price at which such Conversion is to take place and the date upon which the limit order is to expire. 

3. When a User initiates a Market Order, KuCoin may (but is not obliged to) provide a non-binding, indicative and discretionary quote for the conversion (“Convert Quote”), which User may accept or decline within such a period of time as KuCoin may, in its sole discretion, specify. User’s acceptance of the Convert Quote will result in the submission of a trade request to KuCoin to process the request at the price provided in the Convert (“Order Request”).  Submission of the Order Request authorizes KuCoin to lock the requisite amount of the User’s Assets that are to be converted until the Conversion is completed.  

4. KuCoin reserves the right to reject the Order Request at all times based on KuCoin’s sole discretion, due to market conditions and other factors at the relevant time.  

5. Once a Trade Request has been accepted by KuCoin,  the User will not be permitted to cancel the requested Conversion or to transfer, withdraw, or otherwise trade the Assets that are the subject of such Conversion.   

6. User acknowledges and agrees that the Convert Quote may differ from the market value of the crypto asset at a given time, due to, but is not limited to, market conditions and liquidity, order amount, technical issues including internet speed, and other factors. 

7. When a User initiates a Limit Order, KuCoin may accept or reject the Limit Order in its sole discretion.  If KuCoin accepts the Limit Order, KuCoin does not guarantee the fulfilment of the Limit Order, even if the market price of the relevant crypto asset subject to the Conversion reached or surpasses the limit price fixed by User, as orders are executed subject to various factors including market conditions and liquidity. In such case, KuCoin shall not be held responsible for any potential loss or opportunity cost due to the failure to execute any Limit Order.   

8. In using KuCoin Convert, KuCoin shall not be held responsible for potential loss or opportunity cost in connection with any price change of the crypto asset subject to the Conversion during the settlement period. 

4. FEE 

9. KuCoin does not charge any fee for KuCoin Convert. However, User acknowledges and agrees that due to market volatility, a conversion spread as solely determined by KuCoin is factored into the conversion price which allows KuCoin to lock in the price for a short amount of time for settlement. 

5. USER RESTRICTIONS AND OBLIGATIONS 

1. Users are prohibited from using the services provided by KuCoin (including KuCoin Convert) to engage in any illegal or any of the below activities: 

1. Support, incite, or participate in terrorist activity. 

2. Participate in any money laundering activities. 

3. Fabricate or distort facts, spread rumours, or disrupt the social order. 

4. Promote or produce obscene, violent, and/or terrifying content. 

5. Participate in any other activities that violate applicable laws and regulations of other countries and/or regions. 

2. You shall not use any method to mask their Internet traffic or IP address (such as proxies, Tor, or VPNs), or use any other technical services to hide your network connection. 

3. You shall not engage in any activities in the name of KuCoin or make use of KuCoin website information/data without our prior written authorization. 

4. You hereby warrant and guarantee that your use of the services provided by KuCoin will not have any negative impact on the reputation of KuCoin or make KuCoin liable for any legal responsibilities or other penalties, fines, and sanctions. 

5. You agree that all your representations and warranties provided under the Terms of Use and these Convert Terms remain valid and accurate.    

6. CONFIDENTIALITY  

1. Both parties warrant that all confidential information (including but not limited to documents, materials and information, operations, financial information, technical information, business information, and other relevant materials) of the other party that cannot be obtained from public channels learned during the negotiation, signature, and performance of these Convert Terms and the process of cooperation shall be kept confidential. Neither party shall in any way use or disclose to any third party the aforementioned documents, materials, or information belonging to the other party in whole or in part. 

2. Any party that violates this confidentiality clause shall compensate the other party for all economic losses suffered therefrom. 

3. This confidentiality clause shall remain in effect even after the termination of the Terms of Use and these Convert Terms. 

7. MODIFICATION AND TERMINATION OF SERVICES 

1. You agree that we have the right to restrict, modify, suspend, or terminate any of KuCoin Convert provided on our Platform, whether in full or in part. 

2. KuCoin has the right to close and terminate any of the KuCoin Convert services or orders to protect your assets and rewards (if any) as and when KuCoin identifies any foreseeable risks.  

3. If you violate any provisions provided in these Convert Terms, KuCoin has the right to immediately suspend or terminate the provision of KuCoin Convert services and orders and take all necessary legal measures within the scope permitted by applicable laws and regulations. 

8. GOVERNING LAW AND DISPUTE RESOLUTION; GENERAL PROVISIONS 

1. For the avoidance of doubt, the provisions provided under the section headed "General Provisions" in the Terms of Use, shall, where applicable, apply to these Convert Terms.  

2. For any matters not outlined in these Convert Terms, the parties may enter into a supplementary agreement. 

3. KuCoin may assign or transfer its rights and obligations under these Convert Terms without restriction. The User may not assign or transfer any rights or obligations under these Convert Terms without the prior written consent of KuCoin. 

By using KuCoin Convert, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of these Convert Terms.
