THE SEC IS DRAWING CLEARER LINES AROUND CRYPTO. 🇺🇸 The SEC has expanded its explanations of how federal securities laws apply to crypto assets, building on its landmark March interpretation. The framework separates crypto assets into five categories: 🔹 Digital commodities 🔹 Digital collectibles 🔹 Digital tools 🔹 Stablecoins 🔹 Digital securities Here’s what makes it important: A token isn’t automatically a security simply because it was once sold through an investment contract. The SEC explains how a non-security crypto asset can become subject to an investment contract — and how it may eventually separate from that contract when the issuer has fulfilled or abandoned the promises that created it. The staff FAQs also address staking receipt tokens, token wrapping, promotional statements and token buybacks. But don’t mistake clarification for a free pass: the Howey test and anti-fraud protections still matter, and the FAQs themselves are non-binding staff guidance. The bigger shift is from treating crypto as one regulatory category to examining what each asset actually represents and how it is being offered. That distinction could have major implications for token issuers, exchanges, DeFi projects and investors. Is this the regulatory clarity crypto builders have been waiting for? #CryptoRegulation #SEC #DigitalAssets #Bitcoin
