The Truth About Strategy: Distressed, Not Insolvent The internet has decided that Strategy is collapsing. Bitcoin is down. MSTR has lost most of its premium. Preferred shares are trading below par. Therefore, according to the prevailing narrative, Michael Saylor must be days away from forced liquidation. That conclusion is not supported by the numbers. Strategy currently owns 847,363 BTC, acquired for approximately $64.1 billion, at an average price of $75,651 per coin. At a Bitcoin price near $60,000, those holdings are still worth roughly $51 billion. The company also has a $1.4 billion dollar reserve intended to support preferred-stock dividends and debt interest. Against that, Strategy has approximately $6.7 billion of convertible debt and around $15.5 billion of preferred-stock notional value. Those numbers require careful interpretation. The $15.5 billion of preferred stock is not the same as $15.5 billion of conventional debt. Preferred shareholders rank ahead of common shareholders in a liquidation, but preferred stock generally has no fixed maturity requiring Strategy to repay the entire amount on a specific date. Strategy’s convertible notes are also primarily senior unsecured obligations. Its Bitcoin is not sitting inside a giant margin account that automatically liquidates when BTC crosses a particular price. There is no secret Bitcoin price at which 847,363 coins are instantly dumped into the market. There is also no MSTR share price that automatically makes Strategy insolvent. MSTR could trade at $20, $10 or even lower while the company continued operating. The stock price affects Strategy’s ability to raise capital efficiently, but it does not directly determine whether its assets exceed its liabilities. That does not mean there is no risk. Strategy’s software business does not generate enough cash to cover all of the company’s long-term liquidity requirements. The model depends on capital-market access, the dollar reserve, additional financing—or, eventually, selling some Bitcoin. That is the real vulnerability. If MSTR trades too cheaply, issuing common stock becomes increasingly dilutive. If the preferred securities remain deeply discounted, raising new preferred capital becomes more expensive. If Bitcoin stays depressed for years rather than months, Strategy may have to use its dollar reserve, reduce acquisitions, issue more shares or sell part of its BTC position. That would represent financing pressure. It would not automatically represent insolvency. The approximate danger levels are also far below the numbers circulating online. At roughly $24,000–$25,000 Bitcoin, the residual economic value available to MSTR common shareholders could approach zero after accounting for debt and preferred claims. That would be devastating for common equity, but it would still not necessarily mean the corporation was legally insolvent. Actual balance-sheet insolvency—where realizable assets struggle to cover true liabilities—would probably require Bitcoin to fall much further, potentially toward the high single-digit thousands, depending on taxes, operating assets, liquidation costs and future financing. So the honest conclusion is neither “Strategy is perfectly safe” nor “Strategy is about to collapse.” Strategy is a highly leveraged Bitcoin capital structure whose survival depends on Bitcoin’s long-term value and continued market access. Its risk is real. But the current insolvency narrative is mostly a confusion between a falling share price, dilution risk, preferred-stock pressure and actual bankruptcy. Those are not the same thing.
