OpenAI will initially contribute $500 million in equity and retains the right to add a further $1 billion; TPG, Bain Capital, Advent International, Brookfield, and Goanna Capital will collectively contribute an additional $4 billion. DeployCo is expected to complete its financing in early May with a valuation of $10 billion. DeployCo is currently managed by Brad Lightcap, former COO of OpenAI, and has begun hiring its own staff, while OpenAI is seconding personnel. Lightcap previously led the recruitment of dozens of “forward-deployed engineers” embedded within client companies to facilitate technology implementation—a model pioneered by Palantir. DeployCo’s business model involves charging fees to portfolio companies of private equity firms to help integrate AI into their business processes. PE investors are locked in for five years, with OpenAI guaranteeing a minimum annual return of 17.5%; insiders say, “This is the floor—the actual expected return is far higher.” DeployCo’s ownership stake in OpenAI may also be used in the future to acquire technologies and intellectual property. OpenAI executives describe the current situation as an “capability overhang” in AI—where model capabilities far exceed actual adoption levels.
